Terms of Service

Welcome to EditX, an Adobe Premiere Pro extension developed by Creative X Entertainment LLC ("Company," "we," "us," or "our"). By accessing or using our software, website, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

1. Acceptance of Terms

By creating an account, downloading, installing, or using EditX, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. By using EditX, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

3. License and Access

3.1 Core License

The EditX Core License grants you a non-exclusive, non-transferable, revocable license to use the EditX software for personal or commercial video editing purposes. The Core License is a one-time purchase and provides lifetime access to productivity features as they exist at the time of purchase and as we may update them.

3.2 Subscription Services

Optional subscription tiers (EditX+ and EditX+ BYOK) provide access to additional AI-powered features. Subscriptions are billed monthly and automatically renew until canceled. You may cancel your subscription at any time through your account settings, which will prevent future billing while maintaining access until the end of your current billing period.

3.3 BYOK (Bring Your Own Keys)

If you choose to use the BYOK tier, you are solely responsible for:

  • Obtaining and maintaining valid API keys from third-party providers
  • All costs incurred from third-party API usage
  • Compliance with third-party provider terms of service
  • Securing your API keys and preventing unauthorized use

We are not responsible for any charges, service disruptions, or account suspensions related to your third-party API accounts.

4. Feature Availability and Changes

We continuously improve EditX and may, at our sole discretion:

  • Add, modify, or remove features at any time
  • Reclassify features between tiers or license types
  • Change feature names, descriptions, or functionality
  • Introduce new features as experimental or beta
  • Deprecate features with reasonable notice when possible

While we strive to maintain feature availability, certain features may depend on third-party services that are beyond our control. We do not guarantee uninterrupted availability of any specific feature.

5. Pricing and Payments

5.1 Price Changes

We reserve the right to change our pricing at any time. For subscription services, price changes will take effect at the start of your next billing cycle following notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5.2 Refund Policy

Core License: The Core License purchase is non-refundable. As an exception, we may grant a refund if requested within 24 hours of purchase and you have not substantially used the software. Refund requests are handled at our discretion.

Subscriptions: Subscription fees are non-refundable. You may cancel at any time to prevent future charges, but no prorated refunds will be issued for partial billing periods.

5.3 Credits

Credits included with subscription plans expire at the end of each billing cycle and do not roll over. Bonus credits earned through referrals or promotions do not expire but have no cash value and cannot be transferred or refunded.

6. User Responsibilities

You agree to:

  • Provide accurate account information and keep it updated
  • Maintain the security of your account credentials
  • Use the Service only for lawful purposes
  • Not attempt to reverse engineer, decompile, or modify the software
  • Not share, resell, or sublicense your access to others
  • Not use automated systems to abuse or exploit the Service
  • Not circumvent any usage limits or security measures

6.1 Downloaded Content

When using download features (including but not limited to YouTube, TikTok, Instagram, and Facebook downloaders), you are solely responsible for ensuring you have the legal right to download and use such content. EditX does not host, store, or distribute any third-party content. The download features are tools that operate on URLs you provide, and you represent that you will only use them for:

  • Content you own or have created
  • Content for which you have obtained explicit permission from the copyright holder
  • Content that is in the public domain or licensed under Creative Commons or similar licenses permitting such use
  • Content where fair use or other legal exceptions apply

We are not responsible for any copyright infringement or violation of third-party terms of service resulting from your use of download features. You agree to indemnify us against any claims arising from your downloaded content.

7. Intellectual Property

EditX, including all software, design, text, graphics, and other content, is owned by Creative X Entertainment LLC and protected by copyright, trademark, and other intellectual property laws. Your license to use EditX does not grant you any ownership rights in the software or its content.

Content you create using EditX remains your property. We do not claim ownership of your projects, videos, or creative work.

8. Third-Party Services and AI Processing

EditX integrates with and relies on third-party services to provide its functionality:

  • Adobe Premiere Pro: EditX is a plugin that requires Adobe Premiere Pro to function
  • AI Service Providers: Features like photo upscaling, video upscaling, audio enhancement, and transcription use AI services from providers such as OpenAI, Anthropic, Replicate, and others. When you use these features, relevant content (images, audio, video clips, or text) is sent to these providers for processing
  • Payment Processing: Stripe handles all payment transactions
  • Infrastructure: Supabase provides database and authentication services

Your use of these third-party services through EditX is subject to their respective terms and privacy policies. We do not control and are not responsible for the availability, accuracy, data handling practices, or conduct of any third-party services. By using AI-powered features, you acknowledge that your content will be processed by these third-party providers.

9. Support

We provide support on a best-efforts basis through our designated support channels. We do not guarantee response times or resolution of all issues. Premium support options may be offered as separate services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE X ENTERTAINMENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or any personal information
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service
  • Any third-party content or conduct

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Creative X Entertainment LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your license to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be governed by the laws of the State of Florida, United States, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Florida for resolution of any disputes.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Creative X Entertainment LLC regarding the Service and supersede all prior agreements.
